1. Acceptance and Scope
By clicking "I agree" you ("Provider", "you") enter into this Provider Agreement ("Agreement") with KiteAtlas, the operator of kiteatlas.io ("Platform", "we", "us"). The Agreement is effective May 3, 2026 and governs your listing of kite school services, accommodations, kite safari operations, and any related activities on the Platform. The Provider Agreement is version 1.
2. Platform Role
KiteAtlas is a marketplace that connects kitesurf travelers with independent providers of kite-related services. KiteAtlas itself does not provide instruction, lodging, transportation, or any service appearing on a listing. You are an independent contractor, fully responsible for the legal, regulatory, safety, tax, and operational aspects of every service you sell on the Platform.
3. Commission and Fees
KiteAtlas charges a flat platform commission of five percent (5%) on the gross value of every confirmed booking made through the Platform. Commission is automatically deducted at payout. Stripe processing fees (typically 2.9% + USD 0.30 per transaction, varying by region) are deducted in addition by the payment processor and are not part of the KiteAtlas commission.
Your commission rate is locked at the moment of acceptance. KiteAtlas may adjust the default commission for new providers; that change will not retroactively apply to your account unless you accept a new major version of this Agreement.
4. Payouts
- Payouts are made via Stripe Connect to the bank account or card you connect during onboarding.
- A hold of 7 days is applied to each booking after completion before funds are released for payout. This window mirrors most cancellation policies and protects against post-completion disputes.
- The minimum payout amount is 50 USD; balances below this threshold accumulate until they cross it.
- The settlement currency is determined by your Stripe Connect account; conversions occur at Stripe's published exchange rates.
- KiteAtlas may suspend payouts and offset future amounts to recover refunds, chargebacks, or commissions on bookings reversed after payout.
5. Cancellation Policy
Each listing operates under one of the Platform's preset cancellation policies (FLEXIBLE, MODERATE, STRICT, or WEATHER). The platform default for new listings is MODERATE, which you may change per listing within the available presets. The full text of each preset is available at kiteatlas.io/legal/cancellation. Customers see the applicable policy before booking; refunds are calculated automatically by the Platform.
6. Listing Standards
You agree to:
- Provide accurate, current information about your services, location, capacity, equipment, certifications, and pricing.
- Honor confirmed bookings except in cases of documented force majeure (weather, equipment failure, illness) reported within 24 hours of the issue.
- Respond to booking requests within 24 hours.
- Maintain the licenses, insurance, and instructor or operator certifications applicable in your jurisdiction.
- Use only photographs you own or have license to publish.
- Refrain from steering customers off the Platform to avoid commission. Off-platform redirection is a material breach and may result in termination plus clawback of unpaid commissions.
7. Service Standards and Reviews
After every completed booking, customers may leave a review. You may respond once per review. KiteAtlas does not edit reviews unless they violate the content policy (spam, defamation, illegal content). Repeated material complaints, cancellation rates above 10% over any 30-day window, or safety incidents may trigger Platform review and possible suspension.
8. Stripe Connect and Identity Verification
Receiving payouts requires an active Stripe Connect account. You must complete Stripe's onboarding (identity, business details, bank account) before bookings can be paid out to you. KiteAtlas does not store your Stripe identity documents; they are held by Stripe under their terms.
9. Taxes
You are responsible for declaring and paying all taxes applicable to your earnings, including income tax, VAT/IVA, and any tourism or local levies. KiteAtlas may issue annual summaries or jurisdiction-specific tax forms (e.g., 1099 in the United States, CFDI in Mexico) where required by law.
10. Termination
Either party may terminate this Agreement with 30 days' written notice. KiteAtlas may terminate immediately for: fraud, repeated cancellations, illegal activity, material breach, or failure to maintain Stripe Connect status. On termination, confirmed bookings continue to be honored to their conclusion; no further bookings will be accepted.
11. Liability and Indemnity
KiteAtlas is a marketplace, not the operator of the underlying kite, accommodation, or safari services. You are solely responsible for the safety, quality, and lawful delivery of your services. To the maximum extent permitted by applicable law, KiteAtlas's aggregate liability to you under this Agreement is limited to the commissions retained by KiteAtlas on the disputed bookings during the prior 12 months. You agree to indemnify KiteAtlas against claims arising from your acts or omissions.
12. Changes to These Terms
KiteAtlas may publish new versions of this Agreement. Minor updates take effect on publication. Major updates (e.g., commission changes, material conduct changes) require your re-acceptance before continuing to use Provider tools.
13. Governing Law
This Agreement is governed by the laws of Mexico. Any dispute will be resolved in the courts of Quintana Roo, Mexico, without prejudice to mandatory consumer-protection rights of your customers under their home law.
By accepting this Agreement, you acknowledge that you have read, understood, and agree to all of the terms above, and that the 5% platform commission will apply to every booking made through KiteAtlas during the term of your participation.
